Acceptance of Terms
By accessing or using the PAYOTRIX platform or services, you agree to be legally bound by these Terms and Conditions. This agreement governs the use of all services offered via payotrix.com, including merchant dashboards, APIs, redirection systems, and customer-facing interfaces.
These terms constitute a legally binding agreement between the user/merchant and PAYOTRIX, a digital platform that offers redirection-based payment gateway aggregation, without storing or processing financial data. If you do not agree with any of the terms listed herein, you must discontinue the use of PAYOTRIX immediately.
PAYOTRIX functions as a technical dashboard and redirection interface, allowing registered merchants to facilitate customer payments through integrated third-party aggregators such as Stripe, Razorpay, Cashfree, and PayPal. PAYOTRIX does not act as a payment processor, bank, wallet provider, or NBFC.
The platform merely enables redirection to external payment processors through secure links, buttons, or APIs. The third-party provider conducts all financial processing, and PAYOTRIX does not control funds or store any payment credentials.
To use PAYOTRIX, a user must:
Be at least 18 years old
Have full legal capacity to enter binding contracts
Register with accurate, up-to-date details
Agree to undergo identity/KYC verification (if merchant)
Merchants must be legally registered entities in their operating jurisdiction and may be required to provide incorporation documents, tax identification numbers, and compliance certificates.
Each user/merchant must create an account with PAYOTRIX to access its services. During registration:
Accurate contact and business details must be provided
An email address and a secure password must be used
All information must be kept current at all times
Users are solely responsible for maintaining the confidentiality of their login credentials. Any unauthorized use must be reported to PAYOTRIX immediately. The platform is not liable for losses caused by compromised credentials resulting from negligence or password reuse.
Once registered, merchants can use the PAYOTRIX dashboard to:
Configure redirection links for payment collection
Integrate APIs for dynamic payment buttons
Monitor redirection status logs and system messages
All redirection events must comply with the terms of the respective third-party gateway. PAYOTRIX reserves the right to block, pause, or audit any redirection if suspicious behavior or non-compliance is detected.
PAYOTRIX does not collect, store, or process any financial information such as card numbers, CVV, OTP, UPI, bank account details, or payment tokens. All transactions occur on third-party gateway platforms. PAYOTRIX acts only as a redirection system.
Users agree that PAYOTRIX is not responsible for any fraud, error, payment failure, chargeback, or refund disputes arising from the third-party processor's side.
PAYOTRIX provides merchant tools to integrate third-party aggregators. Each integration is:
Subject to the respective gateway’s terms
Manually or automatically verified
Logged for compliance reviews
PAYOTRIX makes no guarantee about the availability or uninterrupted uptime of third-party services. Platform behavior may be impacted by the external provider’s downtime, API limits, or deprecation schedules.
All merchants must complete KYC verification to access or continue using PAYOTRIX services. Acceptable documents include PAN, Aadhar, GSTIN, company registration certificate, and bank proof. PAYOTRIX reserves the right to:
Reject incomplete or fraudulent documentation
Periodically re-verify identity
Suspend accounts that fail compliance
All data submitted will be stored securely and processed according to the Privacy Policy.
Users may only use PAYOTRIX for lawful purposes, and agree not to:
Use the platform to process illegal or unauthorized payments
Create fake merchant accounts or impersonate others
Host phishing, gambling, pornography, drugs, weapons, or financial scams
Reverse-engineer, modify, or tamper with platform code or APIs
Introduce malware, exploits, or spam services
Violations will lead to permanent suspension, IP blocking, and legal action under the IT Act, 2000, and relevant cybercrime laws.
PAYOTRIX will strive to provide 99.5% uptime, but does not guarantee uninterrupted service. Planned maintenance may be announced via email or the dashboard. Emergency maintenance may occur without prior notice.
Users agree that PAYOTRIX will not be liable for downtime or delay caused by:
Hosting provider outages
Force majeure events (natural disasters, war, pandemics)
Third-party gateway issues
Cyberattacks or DDoS
Merchant Responsibilities and Representations
Each registered merchant on PAYOTRIX affirms that:
They have the legal authority to conduct business in their jurisdiction
Their business model is compliant with RBI, GST, and other applicable laws
Their offered products/services are not illegal, counterfeit, or harmful
They will not misuse the platform for fraudulent, misleading, or exploitative activities
They are responsible for customer billing, refunds, and post-sale support
PAYOTRIX shall not be held liable for customer disputes, false advertising, or contractual failures between the merchant and its end customers.
To the fullest extent permitted by law, PAYOTRIX disclaims all warranties, express or implied, and shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to:
Loss of revenue
Data breaches not caused by PAYOTRIX systems
Errors by third-party payment processors
Delays in platform responses or redirection failures
Technical or configuration errors on the merchant side
Liability of PAYOTRIX, if any, will be limited to INR 1,000 (One Thousand Rupees) or the amount paid to PAYOTRIX in the last 30 days, whichever is lesser.
PAYOTRIX never collects, stores, routes, or settles any customer funds. All payments made through the platform are:
Handled directly by third-party payment processors
Settled to the merchant’s account by those processors
Governed by those processors’ terms, not PAYOTRIX
If a customer does not receive a service or refund, the issue must be resolved between the merchant and the gateway provider directly. PAYOTRIX is not responsible for financial reconciliation or refunds.
PAYOTRIX does not guarantee the availability or reliability of any third-party payment gateway integrated on its platform. If any gateway experiences technical errors, downtime, or rejection of transactions:
PAYOTRIX may temporarily suspend redirection links
Logs will be maintained for forensic traceability
Merchants will be notified and may be advised to use alternative providers
The platform will not be held liable for financial losses caused due to any technical issue originating from a third-party gateway.
PAYOTRIX reserves the absolute right to modify, update, suspend, or discontinue any part of its platform, including but not limited to:
APIs
Redirection tools
Gateway integrations
User interface or merchant dashboards
Such modifications may be made without notice. Continued use of the platform after changes constitutes user acceptance.
Merchants are solely responsible for:
Complying with local and national tax laws
Collecting and remitting applicable GST
Issuing invoices to their customers
Reporting earnings to the appropriate authorities
PAYOTRIX does not act as a tax collector, agent, or intermediary. GST compliance, PAN linking, and invoice generation are the merchant’s legal responsibility. PAYOTRIX may assist with tools but accepts no liability for non-compliance.
PAYOTRIX reserves the right to suspend, restrict, or terminate any user or merchant account without prior notice in case of:
Violation of these terms
Fraudulent activity
Gateway policy violation
Non-compliance with KYC norms
Repeated customer complaints
Abuse or threats to PAYOTRIX personnel or systems
Terminated users forfeit access to all stored data, logs, and configuration. Data may be retained as per the Privacy Policy and applicable laws.
Merchants using the PAYOTRIX API must adhere to:
Authentication via secure tokens
Rate limits and usage quotas
Endpoint specifications
Non-abuse and non-commercial resale
Any automated bot, scraper, or script abusing the API may lead to IP bans or account suspension. PAYOTRIX retains the right to monitor API activity and throttle or revoke access to protect system integrity.
All intellectual property (IP) associated with PAYOTRIX, including its:
Codebase
Dashboard interface
APIs
Logos, UI/UX, content
Documentation and brand assets
…remains the sole property of PAYOTRIX or its licensors. Users are not granted any license to copy, replicate, reverse-engineer, rebrand, or commercially distribute any part of the platform without explicit written consent.
Any violation may lead to legal action and claims under the Indian Copyright Act, 1957.
Merchants and users may be exposed to sensitive information while interacting with PAYOTRIX, including:
Platform architecture
API documentation
Support credentials
Gateway sandbox keys
Users agree to maintain the confidentiality of such information and not disclose, share, or misuse it. Violation of this clause may lead to civil and criminal liability under the Information Technology Act, 2000, and contract law.
PAYOTRIX offers support through:

Users agree to engage respectfully with support staff. Abusive, harassing, or misleading communication will lead to denial of service or account suspension. All support interactions may be logged and monitored for quality and security.
Users may terminate their account at any time by sending an official request from their registered email to support@payotrix.com. On approval:
All services will be deactivated
Redirection links will be disabled
Data will be deleted or archived per legal retention periods
Third-party API access will be revoked
No refund will be issued unless explicitly agreed upon in writing, as per the Refund & Cancellation Policy.
Users and merchants agree to indemnify, defend, and hold harmless PAYOTRIX, its directors, officers, employees, and affiliates from:
Any third-party claims
Regulatory fines
Losses or damages
…arising from misuse of the platform, violation of these Terms, or failure to comply with laws.
This includes legal costs, defense expenses, and settlement amounts arising from user-caused disputes or liabilities.
PAYOTRIX shall not be held liable for any failure or delay in performance of its obligations due to events outside its reasonable control, including:
Acts of God
Natural disasters
Internet outages
War, terrorism, civil unrest
Governmental orders or lockdowns
Pandemic-related disruptions
During such periods, services may be suspended, limited, or temporarily inaccessible.
These Terms shall be governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts located in Maharashtra.
If any clause of these Terms is found to be unenforceable, the remaining clauses will remain in full force and effect.
Refunds and Chargeback Handling
PAYOTRIX does not process refunds directly. All payments, cancellations, and chargebacks are handled through the third-party payment aggregators used by the merchant. Merchants are solely responsible for:
Issuing refunds through their gateway dashboard
Responding to customer chargeback claims
Resolving disputes raised with banks or PSPs
PAYOTRIX may assist in logging redirection metadata or request logs to support any investigation, but will not mediate between the merchant and payment provider. All parties must comply with the Refund and Cancellation Policy published separately.
If a merchant’s account is flagged by a payment aggregator (e.g., Stripe, Razorpay) due to:
Fraudulent activities
High refund/chargeback ratios
Policy non-compliance
Unapproved business categories
…PAYOTRIX reserves the right to suspend the merchant’s access to all related redirection services. Such suspension remains active until the matter is resolved with the aggregator or the merchant replaces the gateway.
Repeated violations may result in permanent blacklisting from PAYOTRIX services.
All redirection events, including timestamp, IP address, device data, and response code, are logged by PAYOTRIX. These logs are:
Retained for up to 12 months
Used for fraud analysis, compliance reporting, or dispute support
Protected against tampering or unauthorized access
Merchants may request access to these logs for legitimate purposes through formal procedures. PAYOTRIX may redact sensitive customer data for compliance.
Merchants are required to maintain the confidentiality of:
Payment gateway API keys
Webhook secrets
Callback URLs
Such credentials are configured inside the PAYOTRIX dashboard and stored in encrypted form. PAYOTRIX will never modify, expose, or share these keys. In case of suspected leakage or abuse, merchants must regenerate their API keys immediately and notify PAYOTRIX.
PAYOTRIX provides sandbox/test environments or demo merchant accounts on request. These accounts:
Should not be used for real payments
Are subject to reset and data purge without notice
They are monitored for abuse and fake traffic
Users agree not to exploit sandbox services to simulate or fake real merchant transactions. Misuse will result in suspension.
PAYOTRIX strictly prohibits:
Use of its services for money laundering
Structuring or layering payments through shell entities
Fraudulent identity or fake KYC
Any suspicious activity is flagged and reported to competent authorities, including the RBI, FIU-IND, or CERT-IN, as per Indian AML and KYC norms. PAYOTRIX may suspend or terminate accounts engaged in such activities without prior notice.
While PAYOTRIX is primarily intended for Indian and compliant international users, merchants from other countries may access it only if:
Their country is not on any export control blacklist (e.g., OFAC, EU Sanctions)
Their business model is legal and licensable in their region
Their payment aggregator supports their local currency and laws
It is the responsibility of international users to ensure they are not in violation of any local, national, or international regulations when using PAYOTRIX.
PAYOTRIX may temporarily freeze access to user or merchant accounts in cases including:
Regulatory audits
Ongoing fraud investigations
Legal notice from any government agency
Repeated breach of platform usage limits
During the freeze, access to all dashboard features and redirection capabilities will be suspended. PAYOTRIX will notify the account holder about the reason and conditions to reinstate access.
Merchants and users may not use the PAYOTRIX name, logo, or brand assets without express written consent.
Unauthorized branding includes:
Use of PAYOTRIX trademarks on merchant sites
Claiming false affiliation or sponsorship
Displaying “Powered by PAYOTRIX” without permission
Legal action may be taken under the Trade Marks Act, 1999 (India) and international IPR laws.
Users may submit feedback, suggestions, or improvement ideas to PAYOTRIX via official channels. All such submissions:
Are voluntary
May be used by PAYOTRIX without obligation
Do not constitute any form of royalty, compensation, or co-ownership
Are non-confidential unless a separate NDA is signed
PAYOTRIX may incorporate feedback into its roadmap and appreciates all constructive suggestions.
PAYOTRIX may charge service fees for:
API access
Premium support
Custom dashboard features
Branded URLs or analytics tools
Fees are always displayed transparently and billed monthly or annually, as per the selected plan. Non-payment may lead to service suspension.
All invoices are issued with valid GST details for Indian merchants.
In case of a dispute between PAYOTRIX and a merchant/user, the parties shall first attempt to resolve the issue via mutual discussion. If unresolved within 30 days:
The dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India)
The seat of arbitration will be Maharashtra
Proceedings will be conducted in English
Each party will bear its costs, unless otherwise decided by the arbitrator
If a user is approved as an official reseller, partner, or affiliate of PAYOTRIX, additional terms will be shared via a separate Affiliate Agreement. Such users must not:
Misrepresent PAYOTRIX services
Use fake traffic or incentivized clicks
Spam users or run misleading campaigns
Resell access without written consent
Violation leads to immediate termination of affiliate rights and cancellation of commissions.
All official legal notices to PAYOTRIX must be:
In writing
Sent to the registered business address or via email to support@payotrix.com
Include full user/merchant details, summary of claim, and documented evidence.
PAYOTRIX reserves the right to reject notices sent through unofficial channels.
These Terms, along with the Privacy Policy and other linked legal documents, constitute the entire agreement between the user and PAYOTRIX. No informal communication, oral agreement, or support conversation shall override these written terms.
Failure of PAYOTRIX to enforce any clause shall not constitute a waiver of that clause.
PAYOTRIX reserves the right to amend or update these Terms & Conditions at any time, without prior notice. Changes may be made to reflect:
Regulatory updates
Platform improvements
Operational adjustments
It is the responsibility of the user to review this page periodically. Continued use of the PAYOTRIX platform after updates implies full acceptance of the revised Terms.
